Bylaws of Diosa Collections LLC

Section 1. Name:

The name of the Company is Diosa Collections LLC.

Section 2. Purpose:

Diosa Collections LLC operates as an auto body and collision repair business. The Company is committed to providing high quality vehicle repair services, including collision repair, detailing, frame straightening, and painting. The Company is also guided by principles of customer satisfaction, eco-friendly practices, and safe, sustainable repair methods. We prioritize transparency, honesty, and long-term value in all customer interactions.

The principal place of business is located in the state of Illinois. The Company may establish additional offices or locations as needed within or outside Illinois.

Section 1. Sole Ownership:

Diosa Collections LLC is a single-member limited liability company, owned solely by:

Tia Wolffe - 100% CEO/Owner

Section 2. Management Structure:

As the sole member, Tia Wolffe retains full authority over all operations, financial decisions, hiring, and business strategy. She may appoint a shop manager or other personnel to manage day-to-day functions but maintains ultimate authority.

Section 1. Services Provided:

Diosa Collections LLC shall provide services including but not limited to:

- Auto body & collision repair

- Dent & scratch repair

- Frame straightening

- Painting & Refinishing

- Vehicle detailing

- Other related services as needed

Section 2. Customer Satisfaction Commitment:

Diosa Collections LLC strives to maintain the highest standards of professionalism and customer care. Feedback is encouraged, and all complaints shall be documented and resolved fairly and promptly.

Section 3. Environmental Compliance & Sustainability:

Diosa Collections LLC is committed to environmental responsibility and shall:

- Use low-VOC and waterborne paints where possible

- Recycle materials including metals, plastics, and solvents

- Properly dispose of hazardous waste in compliance with EPA and Illinois Environmental Protection Agency (IEPA) regulations

- Train employees on environmentally responsible repair practices

- Minimize energy and water usage where feasible

Section 1. Employment Policy Overview:

Section 2. Key Employee Policies:

Section 1. Fiscal Year:

Diosa Collections LLC's fiscal year ends on December 31 of each year.

Section 2. Banking:

All business funds will be maintained in accounts under the name Diosa Collections LLC. Only the Owner may authorize withdrawals, payments, or account changes.

Sections 3. Compensation and Profit Use:

AS sole owner, Tia Wolffe may determine her own compensation and allocate profits at her discretion, in accordance with applicable federal and Illinois state laws.

Section 2. Legal Compliance:

Diosa Collections LLC shall maintain all licenses, permits, certifications, and registrations required to operate in Illinois.

Diosa Collections LLC shall maintain accurate and up to date:

- Financial records and tax filings

- Employee records

- Repair and inspection logs

- Environmental disposal and compliance logs

- Customer estimates, invoices, and satisfaction reports 

These Bylaws may be amended at any time by the Owner, provided the changes comply with Illinois law and are documented in writing.

Upon dissolution of Diosa Collections LLC:

1. All debts and obligations shall be settled.

2. Remaining assets shall be liquidated and distributed to the Owner.

3. Final filings shall be made with the State of Illinois and the IRS.
